Abwehrklausel / Vorrangregelung

1. Entgegenstehende oder abweichende Geschäftsbedingungen jeglicher Art (hiermit und mit der Bezeichnung „Allgemeine Geschäftsbedingungen“ gemeint sind – auch nachstehend – auch alle sonstigen, nicht als „Allgemeine Geschäftsbedingungen“ bezeichneten Regelungen, die dem AGB-Recht gemäß §§ 305 ff. BGB unterliegen, wie beispielsweise – aber nicht abschließend – Einkaufsbedingungen oder Verkaufsbedingungen) des Vertragspartners finden keine Anwendung, auch wenn diesen im Einzelfall nicht ausdrücklich widersprochen wird. Dies gilt auch dann, wenn der Vertragspartner im Rahmen der Auftragsbestätigung, bei Lieferung oder sonstigen Erklärungen auf eigene Allgemeine Geschäftsbedingungen verweist.
2. Die Geltung fremder Allgemeiner Geschäftsbedingungen wird hiermit insgesamt und ausdrücklich widersprochen. Eine Einbeziehung solcher Bedingungen – auch einzelner Klauseln – erfolgt nur, wenn wir ihrer Geltung ausdrücklich schriftlich zugestimmt haben.

Exclusion of Conflicting Terms / Priority Clause

1. Any general terms and conditions of any kind (this and the designation “General terms and Conditions” also refers – as below – to all other provisions not designated as “General Terms and Conditions” that are subject to the law on general terms and conditions pursuant to Sections 305 et seq. of the German Civil Code (BGB), such as – but not limited to – terms and conditions of purchase or terms and conditions of sale) of the contractual partner that conflict with or deviate from our General Terms and Conditions shall not apply, even if we do not expressly object to them in individual cases. This also applies if the contractual partner refers to its own general terms and conditions in the context of an order confirmation, delivery, or other declarations.
2. The applicability of any such conflicting or deviating terms and conditions is hereby expressly rejected in their entirety. Inclusion of such terms – including individual clauses – shall only occur if we have expressly agreed to their applicability in writing.
